依据上海市海事局危防处，关于上海港船舶清排残油和油污水及处理的有关规定和上海港监等有关管理部门的相关要求，甲乙双方在精诚合作的基础上，特签定本协议如下：
In accordance with the stipulation on vessel sludge oil handling by Division of Dangerous Article Prevention of Shanghai Marine Administration and relevant requirements by Shanghai Harbor Master, party A and party B make this agreement on basis on trust and consultation, the details are as follows:
一、甲方的船舶在上海港停靠，需要清理残油和油污水排放的处理，只交乙方一方接受处理。
1  Party A agrees to only entrust Party B to handle the sludge oil during their calls at Shanghai harbor.
二、甲方要清排油污水应提前四天，将船名和到港时间、排放量通告乙方，乙方根据上海海事局规定，与甲方指定船代协作，及时安排接受船舶和办理相关手续。
2  Party A must inform Party B of the ships names, time of call and the amount of sludge four days before draining sludge oil ,Party B must make relevant arrangement and go through necessary formalities in cooperation with the shipping agents designated by party A.
三、甲方船舶上的残油和油污水排放全部由乙方负责处理，并办理签证手续，不收任何费用。
3  Party A agrees to entrust party B to handle the sludge oil and go through formalities of permission free of charge.
四、乙方在生产操作过程中，必须确保安全、，及时、，规范，如有不慎，所发生的事故，均有乙方负责。
4  Party B must guarantee safety, regularity and efficiency during operation and be responsible for all accidents resulting from discretion.
五、甲方船舶到上海需要排污，乙方接到通知后，无特殊情况，未帮甲方排污，导致甲方转港处理，所造成的损失（排污费用），均有乙方承担。
5  If party A need to drain sludge oil at Shanghai, and has to get it done at another port because of party B failure to handle the sludge oil on notice without special circumstances, party B is required to cover the losses of party A ensued(draining fee).
六、如果甲方的船舶在上海港需要排污，在抵达上海之前没通知乙方或没把油污加热，导致乙方未能成功操作，造成乙方的经济损失由甲方负责；
6  If party A fails to notify party B about the sludge oil handling or warm the sludge oil before arrival in Shanghai, and thus handicaps party B in carrying out the work, party A is responsible for the losses ensued.
七、如果甲方的船舶在上海港需要排污，在没有乙方的确认同意下委托另外一方排污，一切后果有甲方承担（包括乙方的经济损失）
7  If party A entrust another company to handle the sludge oil without notifying party B after arrival in Shanghai , Party A is responsible for the consequences ensued (including economic loosed).
八、甲方的船舶在上海港需要排污，如遇特殊情况（台风、大雾、大风、巨浪等情形），造成乙方不能作业，双方不予追究任何责任。
8  In case of the circumstances such as typhoon, fog ,hail and  tide , both sides are free of responsibilities for Party failure to work.
九、本协议自20   年   月   日至20   年   月   日，协议的有效期为  年。如协议到期，双方无异议，本协议可以续签，如有一方有异议，应提前一个月通知对方。
9  The validity of this agreement is from              to     
         .After expiry , the agreement continues to be valid if both parties raise no objections, each party must inform the other one month in advance in case of disagreement
十、凡与本协议相抵触的，全部以本协议为准；
10  All other agreements must obey this one in case of contradiction.
十一、其它有关未定事宜，由双方协商解决。
11  Both parties must consult for other issues not included in this agreement
